Clarifying the Annual Report Filed with Idaho’s Secretary of State

Some of ICB’s filings of the Annual Report with Idaho’s Secretary of State show the same group of individuals listed over a period of time. These entries reflect specific legal and administrative requirements — not necessarily continuous leadership — and must be understood within their proper historical and organizational context.

What the Annual Report Includes: 

  • Legal name and business address of the organization
  • Names and addresses of current officers and directors (as of the time of filing)
  • Registered agent information
  • Confirmation that the organization remains active

“Officers and Directors” – What It Actually Refers To:

State reporting requirements typically classify BOT members as “directors” and members of the EC as “officers” . While these terms may differ from how roles are referred to internally at ICB, the distinction aligns with standard non profit governance definitions used in legal and administrative filings.  Therefore, this section may include a mix of individuals serving in various leadership roles such as:

  • The President of the Executive Committee (EC)
  • The Secretary or Treasurer of the EC
  • Members of the Board of Trustees (BOT)
  • The President of the BOT

What It Does Not Show or Indicate :

The filing does not require that these roles be labeled or distinguished between EC and BOT roles. It is therefore incorrect to assume, for example, that the President listed in the report is the BOT President. The title ‘President’ in the filing may refer to the EC President, BOT President, or another officer designated for administrative purposes 

  • It does not indicate when a person started or ended their role
  • It does not confirm whether a position is permanent, interim, or temporary
  • It does not reflect internal leadership changes made after the report is filed
  • It does not verify constitutional compliance regarding term limits or eligibility

Summary:

The Secretary of State filings do not delineate between EC and BOT positions, nor are they a reflection of internal cycles or elections. Relying on them as constitutional violations is therefore incorrect due to: 

  • The “officers and directors” listed on the annual report can include members of the EC, BOT, or both. It is a legal formality, not always an exact reflection of internal roles or elections
  • To the best of our knowledge, particularly with earlier filings, the individuals listed were serving in a representative capacity at the time of filing, for example, the person listed as “President” was typically the one managing administrative duties — not necessarily the elected head, as understood in more formal organizations
  • Since Idaho’s Secretary of State’s Annual Report only requires the listing of “Corporate Officers and Directors,” one should not automatically assume that the “President” identified in filings is the President of the BOT
